By submitting this form, you (the investor):

1. acknowledge that you have received, read and understood the current information memorandum (IM) and partnership deed (Partnership Deed) for the Fund, together with any supplemental information;

2. acknowledge that this form is an expression of interest only until such time it is annexed to a duly executed deed of accession at which time it shall be deemed an ‘Application Form’ for the purposes of the Partnership Deed;

3. acknowledge that upon submission of this form neither Beaten Zone Investment Manager Pty Ltd ACN 667 064 208 (Manager) nor Beaten Zone Management Partnership 1, LP (General Partner) are obliged to admit you as a limited partner to the Fund until you have satisfied the conditions for admission in the Partnership Deed, including the provision of a duly executed deed of accession;

4. acknowledge that the Fund has been incorporated with the intention of being, and complying with the requirements for, an Early Stage Venture Capital Limited Partnership (ESVCLP) as defined in the Venture Capital Act 2002 (Cth) and is, as of 28 August 2023, conditionally registered as an ESVCLP with further conditions needing to be met prior to being unconditionally registered as an ESVCLP;

5. declare that you are a wholesale client as defined in section 761G of the Corporations Act 2001 (Cth) (Corporations Act) or a sophisticated investor under section 761GA of the Corporations Act;

6. acknowledge that you have obtained independent legal, tax and financial advice prior to submitting this form;

7. declare that you understand the information in the IM is general information only and does not take into account your individual objectives, financial situation or needs;

8. acknowledge that none of the Fund, General Partner, Manager, their respective affiliates, related bodies corporate, entities, directors, or officers, employees, advisers, agents or associates (Relevant Persons) have guaranteed or made any representation as to the performance or success of the Fund, or the repayment of capital from the Fund. Investments in the Fund are subject to various risks, including delays in repayment and loss of income or principal invested;

9. declare that all details provided by you in this form are true and correct and you understand that we will rely on the information in this form;

10. declare that any monies deposited in connection with this form are not associated with crime, terrorism, money laundering or terrorism financing, nor will monies received from your account have any such association;

11. declare that you are not bankrupt or a minor;

12. acknowledge that, upon admission as a limited partner to the Fund and receipt of a capital call notice from the General Partner, you will pay in cleared funds all or part of your outstanding Committed Capital as set out in the capital call notice;

13. acknowledge that, upon admission as a limited partner to the Fund, failure to pay all or part of your outstanding Committed Capital as notified may result in interest accruing daily on the unpaid Committed Capital and if unpaid may result in the forfeiture and sale of your partnership interest. The General Partner is entitled under the Partnership Deed to recover, on behalf of the Fund, amounts from the proceeds realised from the sale of your partnership interest before paying the balance of the sale proceeds to you (if any). Please refer to the IM and Partnership Deed for further information;

14. acknowledge the risks of investing in the Fund;

15. acknowledge that, if requested by us, you will provide information we require in order to comply with an applicable law, including the Anti-Money Laundering and Counter-Terrorism Financing Act 2006 (AML/CTF Act), the United States Foreign Account Tax Compliance Act (FATCA) and Common Reporting Standards (CRS);

16. declare that you are not a ‘politically exposed’ person or organisation for the purpose of the AML/CTF Act and will notify us if you become a ‘politically exposed’ person or organisation for the purposes of the AML/CTF Act;

17. acknowledge that we may (acting reasonably) decide to delay or refuse any request or transaction (including by suspending your admission as a limited partner of the Partnership), if we are concerned that the request or transaction may breach any obligation of, or cause any person to commit or participate in an offence under, the AML/CTF Act, and we will not be liable to you if we do so;

18. acknowledge that neither we or any related body corporate of us guarantees the repayment of capital invested in the Fund, the performance of the Fund or any particular return from the Fund; and

19. agree to the handling of your personal information in accordance with the Privacy Act and our privacy policy.

Privacy

The Beaten Zone Investment Manager Pty Ltd ACN 667 064 208 (Manager) and the Beaten Zone Management Partnership 1, LP (General Partner) are committed to ensuring the confidentiality and security of your personal information. We handle your personal information in accordance with the Australian Privacy Principles contained in the Privacy Act 1988 (Cth) (Privacy Act) and our privacy policy.

The purpose of this statement is to advise you that the Manager and the General Partner may collect, use and disclose various personal information about you, including your name, job title, date of birth, contact details (including residential address, postal address, email address and phone number), financial institution account details, tax file number, and identification documents (such as driver’s licence, passport or Government issued ID card). We are authorised are authorised to collect your tax file number as an investment body under the Income Tax Assessment Act 1936 (Cth). We collect, use and disclose your TFN in accordance with applicable tax laws and the Privacy Act. For further information about the collection or use of your TFN, please contact the Australian Taxation Office.

Where possible, we will collect your personal information about you directly from you, however on occasion the Manager and the General Partner may need to collect personal information about you from their related entities, affiliated organisations or third parties.

This collection is for the purposes of implementing, administering and managing your participation as an investor in the Beaten Zone Venture Capital Fund 1, LP (Fund), and facilitating the Manager and General Partner’s internal business operations, including the fulfilment of any legal and regulatory requirements.

In order to implement, administer and manage your participation as an investor in the Fund, the Manager and the General Partner may disclose personal information about you to their related entities and affiliated organisations (including Boutique Capital Pty Ltd ACN 621 697 621) and service providers, who assist the Manager and the General Partner in operating their business (including administration, custody, legal advice and audit (if any) of the Fund), from time to time. If you used a financial adviser who recommended your investment in the Fund (as indicated on this form), details of your investment will be provided to him/her.

If the personal information you provide to the Manager and/or the General Partner is incomplete or inaccurate, the Manager and/or the General Partner may not be able to implement, administer or manage your participation in the Fund. It is up to you to update your personal information. If you are unable to update your personal information held by the Manager and the General Partner yourself, you must notify the Manager and the General Partner of the changes as soon as reasonably practicable.

The Manager and the General Partner are not likely to disclose your personal information overseas, except as permitted by the Privacy Act, unless we otherwise advise you in writing.
