The Offer

Najmaa Mutual Limited (ACN 686 285 450) (Company or Najmaa) lodged a prospectus with the Australian Securities and Investments Commission (ASIC) on 5 November 2025 for the offer of Mutual Capital Instruments (MCIs) in the Company to be issued at an issue price of A$100.00 each (the Offer) (the Prospectus).

Najmaa is pleased to offer investors the opportunity to participate in Australia’s first takaful mutual through the issuance of Shariah-compliant MCIs. The Offer seeks to raise $10,000,000 (with the ability to raise more or less).

This Offer provides investors with equity-style participation, enabling them to share in Najmaa’s growth through a capital structure underpinned by shariah certification.

Capitalised terms used on this website not defined have the meanings given to them in the Prospectus (unless otherwise stated).

Offer period

The Offer period commences on 13 November 2025 and is expected to close on 13 December 2026. The Company may vary these dates without notice.

Applications

The Corporations Act 2001 (Cth) prohibits any person from passing on to another person an Application Form unless it is accompanied by or attached to a complete and unaltered copy of the Prospectus. Refer to the Prospectus for details of the applications process in relation to the Offer.

Dividends

Payment of any Dividend on Najmaa Mutual MCIs is discretionary and subject to the Directors in their absolute discretion determining that the Issuer pay the Dividend, pay a partial Dividend or pay an Optional Dividend. Dividends will be non-cumulative. The Issuer does not intend to pay dividends on Najmaa Mutual MCIs in the first year of operations. In deciding whether to grant the dividends, the Issuer will have consideration to the factors as set out in the Prospectus.
